The independent director is essential for the companies to protect the interest of the investor and to boost up the companies growth. The directors should ensure their duties and functions in the companies. The present study reveals that majority of independent directors are professionals and experienced in their respective field and they have awareness of functions, qualities and provisions under Clauses 49 of independent directors in the corporate governance. Hence the independent directors in the corporate governance are important for every company in India.
